The Limited Liability Company Formation Process

The key steps in forming a limited liability company, from MERSİS pre-registration to final registration.

Stages of the Process

  1. MERSİS Pre-registration

    Incorporation details and the draft articles of association are prepared through the MERSİS system.

  2. Depositing Capital at the Bank

    A document is obtained confirming that the statutory portion of the capital has been deposited.

  3. Trade Registry Application

    An application is submitted to the trade registry directorate with the required documents.

  4. Registration & Publication

    The company is registered with the trade registry and published in the Turkish Trade Registry Gazette; legal personality is acquired at this point.

  5. Tax Office Registration & Book Approval

    The company is registered with the tax office; statutory books are approved and operations may begin.
